1. Definitions
 

• Client: Any individual or entity engaging our services for website design, development, or related services.

• User: Any visitor to our website or websites we create for clients.

• Services: Website design, development, maintenance, SEO, and other services provided using the Wix platform.

• Wix Platform: The website builder and services provided by Wix.com, including Wix Studio, subject to Wix’s Terms of Use and Partner Program Terms.

• Deliverables: Websites, templates, or other materials created by us for a Client.
   

2. Our Services
We provide custom website design and development, web applications, SEO optimization, and maintenance services using the Wix platform. As a Wix Partner, we:
 

• Create websites and templates compliant with Wix’s guidelines and standards.

• Offer ongoing support, updates, and hosting through Wix’s infrastructure.

• Are independent from Wix; we are not affiliated with or responsible for Wix’s services, functionality, or performance.

• May advertise our Wix Partner status but do not claim an exclusive partnership with Wix.

All services are subject to a project agreement outlining scope, timelines, and fees. Any changes to the scope will incur additional costs, quoted at $25/hour for standard Wix elements or $100/hour for Wix Velo (coding) unless otherwise specified.

3. Client Responsibilities

Clients must:
 

• Provide complete and accurate content (text, images, graphics) in a timely manner in an electronic format.

• Respond to feedback requests within 7 business days. Failure to respond may result in project delays or abandonment, with no liability to us.

• Ensure content provided does not infringe on third-party intellectual property rights.

• Comply with Wix’s Terms of Use and Privacy Policy when using websites we create.
   

4. Ownership and Licensing
 

• Deliverables: Upon full payment, Clients receive a perpetual, non-exclusive license to use the website for its intended purpose. We retain ownership of source code, work-up files, and proprietary elements unless otherwise agreed.

• Wix Templates: Any templates we create for the Wix Marketplace are subject to Wix’s Template Guidelines and approval process. Clients may not modify, resell, or redistribute templates without permission.

• Portfolio Rights: We reserve the right to display deliverables in our portfolio or marketing materials as examples of our work.
   

5. Payment Terms
 

• Fees are outlined in the project agreement. A deposit (typically 50%) is required before work begins, with the balance due upon completion.

• Payments are processed via [e.g., Stripe, PayPal, or Wix Payments]. Late payments may incur a 5% fee per week.

• We may earn a revenue share (e.g., 20% for Wix Studio sites, 30% for top-tier Partners, or 50% for Enterprise packages) on sites created, subject to Wix Partner Program terms.

• Refunds are not offered for completed work or abandoned projects due to Client inaction.
   

6. Intellectual Property
 

• Clients warrant that all content provided is owned by them or licensed for use. We are not liable for intellectual property disputes arising from Client-provided content.

• Our deliverables may include royalty-free or licensed elements (e.g., images, fonts) from Wix or third-party sources, used as placeholders unless otherwise specified. Clients are responsible for securing licenses for final use.

• We retain rights to any proprietary code, designs, or tools developed for the project.
   

7. Website Usage and User Responsibilities
Users of websites we create must:
 

• Be at least 18 years old or have legal authority to enter binding agreements.

• Not use the website for illegal activities or to infringe on third-party rights.

• Comply with Wix’s Terms of Use, as our websites operate on Wix’s platform.

• Acknowledge that we are not responsible for Wix’s platform performance, downtime, or data security, which are governed by Wix’s policies.
   

8. Limitation of Liability
 

• We are not liable for indirect, incidental, or consequential damages arising from the use of our services or websites, including loss of profits or data.

• Our liability is limited to the amount paid for the services.

• Wix’s platform, hosting, and security are provided “as is.” We are not responsible for Wix’s service interruptions, data breaches, or functionality issues.

• We do not guarantee specific SEO outcomes or website traffic levels, as these depend on external factors like search engine algorithms.
   

9. Termination
 

• We may terminate services for non-payment, breach of these Terms, or failure to provide required content within 30 days of request.

• Clients may terminate services with written notice, subject to payment for work completed.

• Upon termination, Clients retain access to their Wix-hosted website, subject to Wix’s terms and subscription status.
   

10. Compliance with Wix Partner Program

As a Wix Partner, we adhere to the Wix Partner Program Terms of Use, including:

• Earning points for building sites and completing certifications to unlock benefits like revenue sharing or Wix Marketplace eligibility.

• Maintaining at least one active Wix premium or Wix Studio premium site per year to qualify for revenue sharing.

• Not claiming exclusive partnership with Wix in marketing materials.
   

11. Governing Law


These Terms are governed by the laws of EU Any disputes will be resolved in the courts of Cyprus.

12. Amendments

We may update these Terms at our discretion. Continued use of our website or services after changes constitutes acceptance of the updated Terms. Check this page periodically for updates.
